These Terms and Conditions ("Terms") govern your access to and use of the Helm platform and related services operated by BeaconEdge Innovations LLC ("BeaconEdge," "we," "us," or "our"). Helm is an AI-powered restaurant technology platform that includes voice call management, reservation and table management, and inventory and food cost management tools.
By using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
"Helm" refers to the suite of software products operated by BeaconEdge Innovations, including Helm Voice, Helm Chart, and Helm Provisions. "Restaurant Partner" refers to any restaurant or food service business that has entered into an agreement with BeaconEdge to use the Helm platform. "Guest" refers to any individual who interacts with the Helm platform by calling a Restaurant Partner, making a reservation, joining a waitlist, or receiving SMS communications. "User" refers collectively to Restaurant Partners, their staff, and Guests. "Services" refers to all products, features, and functionality provided by BeaconEdge through the Helm platform and related websites.
You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you meet this requirement.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services in any way that violates applicable law, attempt to gain unauthorized access to any portion of the Services, interfere with or disrupt the integrity or performance of the Services, or use the Services to transmit unsolicited or unauthorized communications.
BeaconEdge operates SMS messaging functionality through the Helm platform on behalf of Restaurant Partners.
Helm sends transactional SMS messages to restaurant guests on behalf of Restaurant Partners. Message types include reservation confirmations and reminders, waitlist status updates and table-ready notifications, callback acknowledgments and follow-up links, and online reservation completion links.
Guests consent to receive SMS messages by providing their phone number through calling a Restaurant Partner that uses the Helm voice AI system, submitting a reservation request online, or joining a waitlist at a participating restaurant.
Message frequency varies based on your interactions. You will typically receive one message per reservation, waitlist entry, or callback request.
Msg and Data Rates May Apply. BeaconEdge is not responsible for any charges incurred from your carrier.
You may opt out of SMS messages at any time by replying STOP to any message. After opting out, you will receive one final confirmation message. To re-subscribe, reply START.

All SMS communications sent through the Helm platform are transactional and directly related to services you have requested. We do not send promotional or marketing SMS messages.
Your use of the Services is also governed by our Privacy Policy, available at beaconedge.ai/privacy-policy. By using our Services, you agree to the collection and use of your information as described in our Privacy Policy.
Restaurant Partners who subscribe to and use the Helm platform agree to provide accurate and complete information during account setup, ensure their use complies with all applicable laws including data privacy and consumer protection, obtain any required consents from their guests and staff, not use the platform to send unauthorized or harmful communications, and maintain the security of their account credentials.
All content, software, features, and functionality of the Helm platform are the exclusive property of BeaconEdge Innovations and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BeaconEdge does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
To the maximum extent permitted by applicable law, BeaconEdge Innovations shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services. Our total liability shall not exceed the amount paid by you to BeaconEdge in the twelve months preceding the claim, or $100 USD if no payment has been made.
These Terms are governed by and construed in accordance with the laws of the State of Maine, United States. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Maine.
We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms.
